Trade Terms and Conditions
1. Introduction:
1.1 These Terms and Conditions ("Terms") are provided by The Exotic Teapot Limited, a company registered in England and Wales (Company Number: 7890505). 1.2 These Terms apply to any contract between us for the sale and purchase of goods ("Contract") and override any other terms which the customer may subsequently seek to impose. No other terms, written or oral, shall be incorporated into the Contract.
2. Prices:
2.1 All Goods are sold at the price shown in our current price list at the date of the order, subject to any discounts we have agreed with you from time to time.
2.2 The price of the Goods is in GBP (£), unless otherwise stated. Prices are subject to change without prior notice.
3. Payment:
3.1 You can pay for Goods using: (a) a debit card or credit card; (b) Paypal; or (c) Bank Transfer
3.2 Wholesale customers may opt to set up a credit account with us, subject to a separate agreement.
3.3 If we have agreed to supply you on credit, you must pay all invoices in full within 30 days from the invoice date. Failure to do so will result in interest charges at two per cent over base rate on any outstanding amount, and/or suspension of delivery of any further goods ordered until all sums due have been paid.
4. Delivery:
4.1 We will arrange for all goods to be delivered to the UK address you choose. The cost of delivery may be included in our invoice.
4.2 You are responsible for ensuring manpower and equipment availability for unloading the goods upon delivery.
4.3 While we endeavour to ensure timely delivery of goods, delivery dates are estimates only. We cannot accept responsibility for any loss arising from delays in delivery.
5. Return of Goods:
5.1 Goods may be returned only with prior arrangement. A handling charge may be applied for returned goods, except in cases of manufacturing faults.

6. Warranty:
6.1 We provide a 12-month warranty from the date of delivery, during which the Goods should conform in all material respects with their description and be free from defects in design, material, and workmanship.
6.2 Subject to conditions, we will, at our discretion, repair or replace defective Goods, or refund the price in full.
7. Retention of Title:
7.1 All goods remain our property until paid for in full. We reserve the right to repossess the goods and to enter any premises where we believe the goods may be, for the purpose of such repossession.
8. Liability:
8.1 Our liability is limited to the replacement of goods proven not to comply with the description or sample, or found to be defective or unsuitable due to faulty design, workmanship, or materials.
9. Termination:
9.1 We may suspend the supply or delivery of the Goods, or terminate the Contract with immediate effect by written notice if you fail to pay any amount due under the Contract on the due date for payment.
10. Force Majeure:
10.1 The performance of all contracts may be varied or cancelled by us due to any event beyond our reasonable control, including but not limited to acts of God, war, strikes, governmental regulations or orders, national emergencies, fire, flood, drought, tempest.
11. Governing Law and Jurisdiction:
11.1 The Contract is governed by English law. Each party irrevocably agrees to submit all disputes arising out of or in connection with the Contract to the exclusive jurisdiction of the English courts.
